The Role of a Board of Directors

A board of directors is an elected group that represents stockholders/owners and serves as a fiduciary in order to safeguard their investment. They develop a strategic plan for the company and supervise its management by regularly meeting with and assisting the top executives, including the CEO. They also establish governance structures by appointing officers to specific positions, such as the chair or president of the board.

Boards are accountable for establishing corporate policies, like oversight and management, making decisions on whether to issue dividends, stock options, or other plans for repurchase of shares, hiring/firing of top management, and bringing on or firing new members. They also make major decisions such as mergers and acquisitions and also appoint committees that focus on specific functions, such as audit or compensation.

A key responsibility is to safeguard shareholder interests through transparency and timely accurate disclosure, particularly in financial reporting. It is essential that a business has a strong Board of Directors to ensure its longevity and success. For investors, it’s critical to understand the role of a company’s board directors and how they’re being elected since their decisions have a significant impact on the profitability of a company.
